1. Definitions

"Company" / "123D" – the service provider. "Customer" – a business using 123D services. "End User" – a visitor to the Customer's website or a user of the 3D Viewer/AR. "Service" – the website, system, central.123d.co.il, 3D Viewer, AR, Embed code, plugins, API where available, CDN, catalog and reports. "Customer Content" – images, text, product data, specifications, links, trademarks and any material uploaded, submitted or collected from the Customer's systems for purposes of the Service. "Output" – 3D models, deliverables, displays, reports and usage data generated as part of the Service.

2. Applicability of the Terms

These Terms apply to all use of the website, the system and related services, including central.123d.co.il, integrations on Customer websites, the 3D Viewer, AR, Embed code, plugins, loading files through a CDN, the product and model catalog, and use through different devices and third-party platforms.

3. Eligibility and Age

The Service is intended solely for lawful business use. Purchasing through the website, opening an account, joining a plan or using the Service is permitted only to persons aged 18 or older, or to a corporation/business acting through an authorized representative. The user represents that the user is at least 18 years old and has the legal authority to enter into these Terms on behalf of the entity the user represents.

4. Services Provided

• Creation/conversion of interactive 3D product displays.
• 3D Viewer capabilities: 360° rotation, zoom, dimensions and variations.
• AR displays on supported devices.
• Contact and lead-generation tools from within the 3D Viewer.
• Usage reports and insights according to the applicable service plan.

In addition, 123D may be integrated into websites using Embed code, a WooCommerce plugin or other technical means, subject to the technical compatibility of the Customer's environment. The Service may include hosting and delivery of 3D files and the 3D Viewer from central.123d.co.il, a public catalog of products and models, and the use of external AI/API providers to create, process, convert or optimize 3D models.

5. User Account and Security

The Customer is responsible for maintaining the confidentiality of access credentials and for providing immediate notice in the event of suspected unauthorized use.

6. Customer Content and Responsibility for Content

The Customer is solely responsible for content uploaded, submitted or collected from its systems, including its legality, accuracy and the rights in such content. The Customer represents that it has all permissions required to use images, text, product data, trademarks, designs, specifications and links, and that the Customer Content does not infringe third-party rights, is not misleading, unlawful or malicious.

7. License to Use Customer Content

The Customer grants 123D a non-exclusive, worldwide license, without additional consideration, to use Customer Content and Output for processing, conversion, storage, backup, display, technical distribution, loading through a CDN, operation of the Service, maintenance, support, security, performance improvement, creation of 3D models and AR experiences, and their display on the Customer's website and within 123D services.

The Customer acknowledges that products, images, text, specifications, links, trade names, trademarks, 3D files and Service deliverables may be displayed in the 123D catalog, including on central.123d.co.il, publicly and accessibly to all users, and may also be used for demonstrations, portfolio purposes, marketing, sales, advertising, promotion of the Service and improvement of the Service. The Customer may contact 123D to request removal of a product or model from the catalog, and 123D will review the request within a reasonable period, without affecting uses made before the actual removal date.

The licenses granted to 123D under this Section are subject to the Customer's existing rights in the Customer Content and Output, and subject to the terms of use and licenses of third-party providers, artificial-intelligence tools, API services and external services used as part of the Service.

8. Intellectual Property

All rights, to the extent they exist, in the system, code, design, 3D Viewer, plugins, workflows, optimization tools, algorithms, templates, professional know-how, working methods, internal work files, 3D files, models, deliverables, Outputs and any technological component that is not Customer Content belong to 123D and/or the applicable rights holders on its behalf, unless expressly agreed otherwise in writing, and subject to the Customer's rights in Customer Content and to the terms of use and licenses of third-party providers used as part of the Service.

No use, copying, modification, distribution, downloading, exporting, file extraction, reverse engineering, transfer, sale, sublicensing or other use may be made of the system, 3D Viewer, 3D files, work files, models, deliverables, Outputs or any other 123D component, except within the limited license granted to the Customer under these Terms or with 123D's prior written approval.

The Customer receives a limited, non-exclusive, non-transferable and non-sublicensable license to use the 3D models, displays and Outputs created as part of the Service solely for their display and integration on the Customer's websites and in channels of use approved by 123D, only through the Service, the system, the 3D Viewer, Embed code or integration methods approved by 123D. This license is conditional upon maintaining an active plan, the Customer's compliance with these Terms and full and timely payment of all amounts payable by the Customer.

For the avoidance of doubt, no payment, integration of a model on the Customer's website, creation of a model for the Customer or use of the Service transfers to the Customer any ownership, intellectual-property rights, right to download, right to receive, right to export, right to copy, right to modify, right to deliver, right to use outside the Service, or any other right in source files, 3D files, work files, technologies, software, systems, algorithms, models, AI tools, workflows, optimization tools, templates, professional know-how, the 3D Viewer, Embed code, plugins, infrastructure or any other component of 123D or third-party providers, unless expressly agreed otherwise in writing.

It is further clarified that models, deliverables or Outputs may be created, in whole or in part, using artificial-intelligence tools, automated systems or third-party services. Accordingly, 123D does not warrant that any model, deliverable or Output will be unique, exclusive, original, eligible for registration as an intellectual-property right, or not similar to other models, deliverables, assets, products or works, unless expressly agreed otherwise in writing.

9. Third-Party Integrations

Integrations with third-party services are also subject to the terms and policies of those third parties. For the creation, processing, conversion, enhancement, optimization, storage or display of 3D models and AR, 123D may use AI providers, external API providers, image/3D processing services, cloud services, CDN, analytics, communications, security, monitoring and support services, including providers operating outside Israel. Information will be transferred to such providers only to the extent necessary to provide or protect the Service.

10. Availability, Maintenance and Changes

The Company works to maintain high availability but does not guarantee uninterrupted service, full availability or error-free loading at all times. Interruptions, updates, maintenance downtime, load conditions, browser/device limitations, dependencies on third-party services, CDN, e-commerce platforms, operating systems, Apple/Google AR or communications infrastructure may occur.

123D provides service and hosting for 3D files on dedicated servers and uses reasonable and industry-standard measures to secure the files and deliver them to End Users as quickly as reasonably possible.

11. Display Accuracy and Non-Reliance Disclaimer

3D/AR displays are intended solely to provide the best possible illustration and do not constitute a commitment to absolute identity, merchantability or complete accuracy of color, texture, size, proportion, material, lighting or spatial placement. Differences may exist between the digital display and the actual product due to source data, image quality, end-user device, browser, lighting, viewing conditions, AR capabilities and technological limitations.

12. Privacy, Data and Analytics

Usage data and interactions may be collected for operation, security, service improvement, reporting, analytics, advertising, remarketing and campaign measurement, in accordance with the Privacy Policy and applicable law.

Among other things, the system may track 3D Viewer statistics, views, clicks, AR openings, interactions, leads, session identifiers, URLs, referrers, device type, browser and additional operational metrics. The Customer is responsible for ensuring that appropriate privacy and cookie notices are displayed on its website and that any consent required by law is obtained for loading 123D components, including cookies, pixels, analytics or similar technologies, where enabled.

13. Payments, Subscriptions, Service Delivery, Model Packages, Renewal and Cancellation

Billing and payment terms will be determined according to the plan, quotation, order, model package, purchase page, invoice or commercial agreement. 123D may offer plans that include monthly usage fees, setup fees, production fees, model packages, usage quotas, processing work, AI/API services, optimization, implementation, hosting, 3D Viewer, AR, catalog, leads, reports and additional related services.

123D services are provided as digital services and software/system services, without physical shipping. Delivery of the Service may include opening access to the system, downloading or activating a plugin or software component where included in the plan, creating 3D models, processing images or files, use of AI/API providers, optimization, hosting, implementation on the Customer's website, activation of the 3D Viewer, Embed code, WooCommerce plugin, catalog, leads, usage reports or other related services, according to the purchased plan. Unless otherwise specified in the plan, purchase page, quotation or commercial agreement, delivery of the Service will begin within a reasonable period after payment approval and receipt of all materials, permissions and details required from the Customer. Timelines for creating 3D models, customizations, implementations or dedicated work will be determined according to the scope of work, availability of materials and Customer approval.

Access to the Service, system, plugin, software components, integration code or models, where included in the plan, will be provided to the Customer by opening an account in the system, sending access details or usage instructions to the email address supplied by the Customer when ordering, implementation on the Customer's website, or another digital means provided by 123D. Unless otherwise specified in the plan, purchase page, quotation or commercial agreement, access details or commencement of work will be provided within a reasonable period after payment approval and receipt of all materials, permissions and details required from the Customer.

It is clarified that plans, packages or subscriptions that include creation of 3D models may include a separate or built-in component for setup fees, production fees, model-creation costs, use of AI/API resources, processing, optimization, customizations and implementation, according to the applicable price, package, quota, quotation, order, invoice or purchase page. This component reflects services and work performed for the Customer and is non-refundable after delivery of the Service has begun, system access has been opened, work on models has begun, one or more models have been created, a model quota has been consumed, third-party resources have been used, or processing, customization, optimization or implementation work has been performed, unless expressly agreed otherwise in writing or mandatory law requires otherwise.

Model packages, setup fees, production fees, processing work, customization work, use of AI/API resources, creation of 3D models, optimization, implementation or any dedicated work performed for the Customer constitute services that have been provided or have actually begun to be provided. Accordingly, after delivery of the Service has begun, system access has been opened, work on models has begun, one or more models have been created, a model quota has been consumed, AI/API resources have been used, or processing, optimization or implementation work has been performed, the Customer will not be entitled to a refund for setup fees, production fees, model packages, consumed quotas, work performed, third-party costs, a service period that has begun, or services actually provided, unless expressly agreed otherwise in writing or mandatory law requires otherwise.

Cancellation of an ongoing subscription will generally take effect at the end of the current billing period or on another date specified in the plan, quotation, purchase page or commercial agreement. Such cancellation will stop future charges only and will not entitle the Customer to a refund for billing periods that have begun, models created, model packages purchased or used, work performed, third-party costs, implementations, services actually provided or use that was made available to the Customer.

If the purchased plan includes a commitment to a minimum term of use, a discounted model package, or an installment arrangement for models, setup or production work, early cancellation of the plan will not release the Customer from paying the remaining amounts the Customer committed to pay for the model package, setup fees, production fees, commitment period, work performed or services already provided, unless expressly agreed otherwise in writing or mandatory law requires otherwise.

The Customer may request cancellation of a subscription or termination of the Service by sending a written request to info@123d.co.il or through another contact method published by 123D. The cancellation request must include the Customer's name, order or plan details and contact information. For transactions subject to consumer-protection laws, to the extent such laws apply, cancellation of the transaction will be permitted only in accordance with applicable law. If a lawful cancellation occurs after delivery of the Service has begun, 123D may charge or offset the proportional consideration for services provided, the period during which the Service was available, models created, work performed, quotas consumed and third-party costs already incurred, all subject to applicable law.

Late payment, failure to complete full payment for a plan, cancellation of a plan, use exceeding the purchased quota, or failure to pay remaining amounts the Customer committed to pay may result in restriction of the Service, suspension of access, removal of integrations, blocking of model viewing, prevention of use of the Service or termination of the license to use the Service, at 123D's discretion and subject to applicable law.

The Customer is not entitled to download, receive, export, copy, extract or otherwise obtain source files, 3D files, work files, system files or any other technical file created or used as part of the Service, unless expressly agreed otherwise in writing by 123D. The Customer's use of 3D models, displays and Outputs is permitted under a limited, non-exclusive, non-transferable and non-sublicensable license solely for display and integration on the Customer's websites and in channels of use approved by 123D, for as long as the Customer complies with these Terms, maintains an active plan and timely pays all amounts due. Non-payment, cancellation of the plan, termination of the relationship or breach of these Terms may result in restriction of the Service, suspension of access, removal of integrations, blocking of model viewing or termination of the license, at 123D's discretion and subject to applicable law. Nothing herein limits or derogates from 123D's rights in its technology, software, 3D Viewer, processes, templates, internal work files, 3D files, Outputs, infrastructure or the licenses granted to 123D under these Terms.

14. Prohibited Use

• Violation of law or third-party rights.
• Attempted intrusion, circumvention of security or malicious use.
• Distribution of misleading, harmful or unlawful content.
• Reverse engineering, copying, scraping, circumvention of limitations, use of 123D components outside the scope of authorization, or attempting to download, export, copy or extract files without 123D's express prior written approval.
• Use of content, products or models that infringe copyrights, trademarks, designs, privacy rights, trade secrets or any other right of a third party.

15. Indemnification

The Customer will indemnify and defend 123D, its employees, officers, suppliers and partners against any claim, demand, action, damage, loss, fine, expense or cost, including attorneys' fees, arising from Customer Content, products, images, specifications, trademarks, designs, allegations of intellectual-property infringement, privacy violations, misleading advertising, failure to obtain required consents on the Customer's website, breach of these Terms or use of the Service in violation of law.

16. Service Warranty and Limitation of Liability

The Service, models, displays, integrations, 3D Viewer, AR experiences, reports and every other component of the Service are provided on an "AS IS" and "AS AVAILABLE" basis. 123D will use reasonable and industry-standard measures to provide, maintain and secure the Service, but does not warrant that the Service will be uninterrupted, free of malfunctions, available at all times, error-free, compatible with every device, browser, operating system, e-commerce platform, third-party environment or particular business need of the Customer.

3D/AR displays, models and digital deliverables are intended solely to provide the best possible illustration and do not constitute a commitment to absolute identity or complete accuracy of color, texture, material, size, proportion, lighting or spatial placement. The Customer is responsible for reviewing and approving the deliverables, integrations and information displayed as part of the Service before commercial use or publication on its website.

Subject to applicable law, 123D will not be liable for indirect, consequential or special damages, or for loss of profits, revenue, data, goodwill, sales or business opportunities, including damages arising from use of the Service, unavailability of the Service, third-party failures, errors in Customer Content, differences between a digital display and the actual product, or use of models, displays or Outputs. To the extent any liability is imposed on 123D, its total liability on any cause of action will not exceed the amounts actually paid by the Customer to 123D for the relevant Service during the three months preceding the event giving rise to the cause of action, unless mandatory law provides otherwise.

17. Suspension and Termination of Service

The Company may suspend, restrict or discontinue the Service, remove integrations, block access, block viewing of models, terminate a license to use the Service or refrain from providing additional services in the event of a breach of these Terms, late payment, misuse, concern regarding infringement of rights, legal requirement, security risk, use exceeding the applicable quota, or an action that may harm 123D, its customers, suppliers or End Users.

18. Changes to the Terms

The Company may update these Terms from time to time. Continued use constitutes acceptance of the updated version.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel. Local jurisdiction shall lie with the competent courts in Tel Aviv.

123D may display on its website and on central.123d.co.il products for which models have been created for customers, including images, product information, 3D models, AR displays and contact details configured by the Customer for routing leads directly to the relevant Customer. The Customer approves this when creating a model in the system or using the Service. Removal requests, privacy questions, commercial questions or claims regarding rights may be sent to the email address listed above.
